Key Responsibilities
Transaction Support: Support/lead the execution of domestic and cross-border M&A transactions, including preparing closing checklists and managing the signing/closing process.
Drafting: Assist in drafting and reviewing transaction documents such as initial drafts of SPAs, Shareholders’ Agreements, and ancillary documents (board resolutions, POA, etc.).
Due Diligence Coordination: Conduct and coordinate legal due diligence, including managing virtual data rooms (VDR) and drafting detailed due diligence reports.
Research & Advisory: Perform legal research on corporate law, foreign investment regulations, and industry-specific rules to support senior associates and partners.
Project Coordination: Liaise with clients, counterparty counsel, and internal specialist teams to ensure smooth deal flow.
Candidate Requirements
Education: LL.B. or J.D. degree from a top-tier law school. An LL.M. from a prestigious overseas university is highly preferred.
Experience: 0–6 years of post-qualification experience (PQE) in M&A/Corporate law within a leading international or top-tier domestic law school.
Qualifications: Qualified to practice law in China.
Skills:
Strong drafting skills in English and Mandarin.
