[Introduction]
As a Corporate PE/VC Associate within our premier International Law Firm, you will advise top-tier global private equity funds, venture capital firms, and high-growth technology companies on sophisticated cross-border investments, buyouts, and growth capital transactions.
[Responsibilities]
-Transaction Execution: Draft, review, and negotiate core investment documents, including term sheets, share purchase agreements, shareholders' agreements, and corporate resolutions.
-Due Diligence & Structuring: Lead and conduct comprehensive legal due diligence investigations on target companies, identify key transaction risks, and assist in designing tax-efficient transaction structures.
-Portfolio Management: Provide ongoing legal support to portfolio companies regarding corporate governance, subsequent financing rounds, and strategic commercial contracts.
-Project Coordination: Manage closing procedures, coordinate with international cross-border teams, and facilitate smooth communication between clients, target companies, and financial advisors.
[Qualifications]
-Education: LL.B. and/or J.D. degree from a top-tier law school. An LL.M. or J.D. degree from a prestigious overseas university is required, with a strong preference for US law schools. Active U.S. bar admission is highly preferred.
-Experience: 2 to 6 years of post-qualification experience (PQE) specializing in private equity and venture capital transactions within a leading international law firm or a top-tier Red Circle firm.
-Core Competencies: Exceptional bilingual capabilities with native or near-native English legal drafting and communication skills; sharp commercial acumen and strong analytical capabilities.
-Stability & Integrity: High professional ethics, proactive mindset, and the resilience to manage multiple deal streams under tight deadlines in a fast-paced environment.
