Key Responsibilities
Corporate Governance & Regulatory Compliance
- Build and refine internal control systems, managing policies regarding information disclosure, connected transactions, and insider information.
- Lead the preparation and timely disclosure of periodic financial reports (annual, semi-annual, quarterly) and ad-hoc regulatory announcements.
- Translate technical developments, order book pipelines, and capacity layouts of the AI compute/server business into clear, compliant disclosures.
- Maintain insider trading logs and manage regulatory compliance risks to safeguard corporate integrity.
Investor Relations & Market Capitalization Management
- Establish and maintain strong relationships with institutional investors, sell-side analysts, and financial media to convey long-term corporate value.
- Organize earnings calls, domestic/international roadshows, reverse roadshows, and investor site visits.
- Monitor market sentiment and provide management with strategic market cap management recommendations and peer benchmarking analyses.
Capital Operations & Strategic Growth
- Drive or deeply participate in major capital market projects, including M&A restructurings, refinancing (private placements, convertible bonds), IPOs, and equity incentive plans.
- Align capital strategies with AI compute industry trends to facilitate upstream and downstream industry integration.
- Evaluate potential M&A/investment targets, support financial/legal due diligence, and assist in structuring transactions.
- Maintain proactive communication and solid relationships with securities exchanges, regulatory bodies, and external advisors (investment banks, law firms, accounting firms).
Qualifications & Requirements
- Educational Background: Bachelor’s degree or above in Finance, Law, Economics, or related disciplines. Fluent in English (written and spoken). A certified Board Secretary qualification (A-share/HKEX/US) is preferred.
- Professional Experience: 8+ years of experience in corporate governance, investment banking, capital markets law, or as a Board Secretary in listed companies. Mandatory background in Internet, Cloud Computing, Servers, Semiconductors, or Advanced Tech Manufacturing.
- Capital Markets Track Record: Hands-on experience leading or playing a key role in major M&A restructurings, refinancing, or IPO projects across A-share, HKEX, or US capital markets.
- Regulatory Expertise: Thorough understanding of securities regulations and disclosure frameworks (proficiency in A-share rules required; HKEX Listing Rules or US SEC rules are a strong plus).
- Industry Acumen: Deep understanding of AI compute infrastructure (servers, data centers, compute pools), technical roadmaps, and valuation metrics for high-tech enterprises.
- Execution & Leadership: Exceptional cross-departmental coordination skills (engineering, finance, legal, sales); highly resilient under pressure with strict professional ethics.
