As an Associate in our Global Corporate & M&A Group, you will be at the forefront of the world's most sophisticated cross-border investment and "Going Global" transactions. You will join an elite team led by market-leading partners with deep expertise in the European and Asian markets. You will advise a diverse portfolio of clients—ranging from high-tech multinationals and advanced manufacturing giants to clean energy pioneers—on complex multi-jurisdictional acquisitions, greenfield investments, and strategic joint ventures across the EMEA, Latin America, and Southeast Asia regions. This role offers a unique opportunity to navigate the intersection of cutting-edge technology and global commercial strategy.
[Responsibilities]
-Strategic M&A Execution: Lead the drafting, reviewing, and high-stakes negotiation of sophisticated transaction documents, including multi-lingual Share Purchase Agreements (SPA), Investment Agreements, and complex Shareholders' Agreements (SHA) tailored for cross-border joint ventures.
-End-to-End Deal Management: Manage the full lifecycle of "Going Global" projects. This includes structuring outbound investments, overseeing signing/closing mechanics, and coordinating with a global network of specialist counsel across diverse legal systems (Civil Law, Common Law, and emerging market jurisdictions).
-Tech-Focused Due Diligence: Direct comprehensive legal due diligence with a sharp focus on Intellectual Property (IP) transfer, data privacy, supply chain resilience, and FDI (Foreign Direct Investment) regulatory hurdles. Translate complex legal findings into actionable commercial advice for C-suite clients.
-Regulatory & Market Entry Advisory: Advise on international regulatory landscapes, including EU market-entry requirements, antitrust/merger control, and sector-specific compliance for the EV, Renewables, and TMT industries.
-Post-Closing & Integration: Provide strategic legal support for international corporate reorganizations and post-merger integration, ensuring robust corporate governance and operational compliance for overseas subsidiaries.
[Qualifications]
-Educational Excellence: LL.M. or J.D. from a world-renowned law school. A strong academic record in both domestic and international legal studies is expected.
-Professional Pedigree: 2 to 8 years of experience within an International Law Firm or a Red Circle firm's Corporate/M&A practice.
-Sector Expertise: Proven track record in handling Technology, Advanced Manufacturing, or Clean Energy transactions. Experience in "Outbound" investment projects from China to Europe or emerging markets is a distinct advantage.
-Linguistic Mastery: Native-level fluency in English and Mandarin is non-negotiable. You must demonstrate the ability to draft, negotiate, and lead client meetings in both languages with absolute precision. Proficiency in a third language is a plus.
-Admission: Admission to the PRC Bar is required. Dual qualification is highly preferred.
