About the Job
As a Banking & Finance Associate (ranging from 1 to 6 years of Post-Qualification Experience), you will play a pivotal role in executing domestic and cross-border financing transactions.
Key responsibilities include:
Transaction Execution: Drafting, reviewing, and negotiating a wide range of English and Chinese financial documents, including facility agreements, security packages, intercreditor agreements, and legal opinions.
Due Diligence & Closing: Managing the conditions precedent (CP) satisfaction process, conducting legal due diligence on borrowers/projects, and overseeing smooth transaction closings.
Regulatory Advice: Providing strategic legal advice to international clients on PRC banking regulations, foreign exchange controls, cross-border security registration (SAFE), and compliance matters.
Client Management: Maintaining direct communication with client representatives (deal teams, in-house counsels) and managing transactional workflows efficiently.
Global Collaboration: Working closely with our Hong Kong, Singapore, London, and other international offices on outbound and inbound financing structures.
Skills and Experience Required
Experience: 1–5 years of solid banking and finance experience gained from a reputable international law firm or a top-tier domestic law firm (Red Circle).
Education & Qualification: LL.B. or LL.M. from a prestigious Chinese or overseas law school. Admission to the PRC Bar is highly preferred; an additional common law jurisdiction qualification (e.g., US State Bar or E&W) is a strong plus.
Language Skills: Near-native fluency in Mandarin and excellent professional English (both written and spoken). The ability to draft complex transaction documents in English independently is essential.
Technical Strengths: Strong understanding of loan structures, security creative mechanisms, and the PRC regulatory landscape concerning cross-border financing.
Soft Skills: Exceptional analytical capability, strong attention to detail, commercial acumen, and the ability to work under pressure in a fast-paced environment. A strong team-player mindset is critical.
