[Introduction] As a Corporate M&A/PE Associate within our elite domestic law firm, you will actively participate in landmark cross-border and domestic M&A transactions, private equity investments, and strategic corporate restructurings, delivering business-critical legal solutions to top-tier investors and corporate clients.
[Responsibilities]

-Transaction Execution: Assist in drafting, reviewing, and negotiating core transaction documents, including share purchase agreements, shareholders' agreements, and corporate resolutions.
-Due Diligence: Lead and conduct thorough legal due diligence investigations on target companies, identifying potential legal risks and drafting comprehensive due diligence reports.
-Research & Advisory: Perform deep-dive legal research on complex corporate, foreign investment, and industry-specific regulatory issues, and draft legal memoranda to support transaction structuring.
-Project Management: Coordinate closing procedures, manage regulatory filings, and facilitate seamless communication among clients, target companies, financial advisors, and internal teams.
[Qualifications]
-Education: LL.B. and/or LL.M./J.D. from a top-tier domestic or overseas law school with an excellent academic background; active PRC bar license or passed the bar exam is required.
-Experience: 1 to 5 years of post-qualification experience (PQE) specializing in M&A, private equity, or general corporate matters at a reputable domestic or international law firm.
-Core Competencies: Strong professional drafting skills in both Chinese and English; exceptional analytical capabilities, sharp commercial acumen, and effective negotiation skills.
-Stability & Integrity: High professional ethics, proactive attitude, and the emotional resilience to manage multiple deal streams under tight deadlines in a fast-paced environment.
