[Introduction]
As a Corporate M&A Associate within our prestigious Joint Operation platform (established by a premier international law firm and a top-tier domestic firm), you will seamlessly bridge global standards and local insights to execute complex cross-border M&A transactions, joint ventures, and strategic corporate investments.
[Responsibilities]
-Transaction Execution: Draft, review, and negotiate key bilingual transaction documents, including share purchase agreements, asset purchase agreements, joint venture contracts, and ancillary corporate documents.
-Due Diligence & Structuring: Conduct and coordinate comprehensive legal due diligence investigations on target entities, identifying key regulatory risks and assisting senior team members in designing optimal deal structures.
-Regulatory & Compliance Support: Perform detailed legal research on foreign direct investment (FDI), cross-border foreign exchange controls, and industry-specific regulations to advise international and domestic corporate clients.
-Deal Coordination: Manage closing checklists, coordinate regulatory filings, and facilitate smooth daily communication between joint operation teams, clients, financial advisors, and counterparty counsels.
[Qualifications]
-Education: LL.B. and/or LL.M./J.D. from a top-tier domestic or overseas law school with an outstanding academic record. Active PRC bar or U.S. bar (or passed exams) is highly preferred.
-Experience: 2 to 3 years of post-qualification experience (PQE) specializing in M&A, private equity, or general corporate matters at a leading international law firm, top-tier Red Circle firm, or prominent joint operation platform.
-Core Competencies: Exceptional bilingual legal drafting and communication skills (native or near-native English and Mandarin); sharp analytical capabilities with strong attention to detail.
