[Introduction] As a Legal Manager specializing in US-side Hong Kong IPOs, you will join our tier-one global capital markets practice to execute landmark cross-border listings, advising major issuers and top-tier underwriters on US securities laws and disclosure requirements.

-Prospectus Drafting & Disclosure: Draft and review critical sections of the prospectus (including MD&A, Business, and Risk Factors) in English to ensure full compliance with US disclosure standards.
-Due Diligence & Verification: Lead and conduct comprehensive legal due diligence investigations, coordinate the verification process, and manage the back-up materials for the transaction.
-Transaction Management: Coordinate the drafting of underwriting agreements, comfort letters, legal opinions, and corporate resolutions, managing the transaction timeline efficiently from kick-off to closing.
-Regulatory Research: Conduct in-depth research on complex US securities laws, SEC regulations, and HKEX listing rules, providing actionable legal analysis to senior team members and clients.
[Qualifications]
-Education: LL.B. and/or LL.M./J.D. from a top-tier domestic or overseas law school with an outstanding academic record; active U.S. bar admission (or passed the bar exam) is highly preferred.
-Experience: 1 to 5 years of capital markets experience at a leading international law firm or a top-tier Red Circle firm, with direct exposure to HK IPOs (US-side/registered or Rule 144A/Regulation S offerings).
-Core Competencies: Exceptional English legal drafting and communication skills (native or near-native level) alongside fluent Mandarin; meticulous attention to detail and strong organizational skills.
-Stability & Integrity: High professional ethics, strong dedication to capital markets practice, and the stamina to deliver high-quality work under tight transaction schedules in a high-intensity environment.
